VOICE PANDA LLC – TERMS & CONDITIONS

Welcome to Voice Panda LLC (“Voice Panda,” “we,” “us,” or “our”). These Terms & Conditions (the “Terms”) govern your access to and use of our websites, applications, products, and services (collectively, the “Services”). By using or accessing the Services in any way, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Services.

1. ACCEPTANCE OF TERMS

By creating an account, accessing, or using Voice Panda’s Services, you represent that:

  1. You have read and understood these Terms;

  2. You are at least 18 years old or the age of majority in your jurisdiction;

  3. You have the authority to enter into these Terms on behalf of yourself or the organization you represent;

  4. You agree to abide by all applicable laws, regulations, and these Terms.

If you do not meet all of these requirements, you must not access or use our Services.

2. ACCOUNT REGISTRATION

  1. Account Creation: To use certain features of the Services, you must create an account. When you create an account, you agree to provide true, accurate, current, and complete information, and to keep this information updated.

  2. Account Security: You are responsible for maintaining the confidentiality of your account credentials and for any activities or actions taken under your account. You agree to notify us immediately of any unauthorized use of your account.

  3. Account Use: You may not share your account credentials or allow any third party to access your account. You agree not to create an account using false information or on behalf of someone else.

3. DESCRIPTION OF SERVICES

Voice Panda provides AI-powered tools and solutions to help users manage communications, workflows, and various forms of content generation. Our Services include but are not limited to:

  • AI Voice Calls

  • Messaging Services

  • Email Services

  • Workflow Automation

  • AI Content Generation (Text, Images, Funnel AI, Review Response AI, etc.)

While it is free to create, build, and test your setup for up to 10 minutes, continued use of the Services beyond this initial trial is subject to usage fees as outlined in Section 4 below.

4. USAGE FEES & BILLING

  1. Pay-As-You-Go Plan: After the free trial period (10 minutes of use), you will be charged on a pay-as-you-go basis according to the following rates (“Usage Fees”):

    • $0.20 per message (SMS, chat messages)

    • $1.30 per minute for voice calls using conversation and Voice AI

    • $0.085 per minute for regular phone minutes (powered by Twilio)

    • $0.0068 per email

    • $0.10 per Workflow Premium Action

    • $0.90 per 1,000 words (Content AI)

    • $0.60 per image (Image Content AI)

    • $0.30 per GPT-4 or 4o execution

    • $0.15 per GPT-3.5 execution (Workflow AI)

    • $0.80 per review response (Review AI)

    • $9.90 per funnel (Funnel AI)

  2. Payment Processing: All payments are processed through our third-party payment provider, Stripe. By using our Services, you agree to Stripe’s payment processing terms.

  3. Billing Cycle: You will be billed periodically (e.g., monthly) or once you reach a predefined usage threshold, as determined by Voice Panda.

  4. Payment Terms: You must provide a valid payment method (credit card or other accepted payment type) to pay for Usage Fees. If your payment method fails or your account is past due, we reserve the right to suspend or terminate your access to the Services.

  5. Invoice Review: You are responsible for reviewing each invoice you receive. If you believe there is a billing discrepancy or error, please contact us immediately at info@voicepanda.ai.

5. REFUNDS & DISPUTES

  1. Refund Policy: All payments made to Voice Panda are generally non-refundable unless otherwise stated.

  2. Billing Disputes: If you believe you have been incorrectly billed or you wish to dispute any charges, contact us in writing within thirty (30) days of the billing date at info@voicepanda.ai. Failure to do so within this time frame will constitute your acceptance of the billed amount.

6. LICENSE & INTELLECTUAL PROPERTY

  1. License to Use: Subject to these Terms, Voice Panda grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business purposes.

  2. Voice Panda Intellectual Property: All content, trademarks, service marks, and logos on the Services are owned by or licensed to Voice Panda and are protected by intellectual property laws. You agree not to use, copy, display, distribute, or modify such content without our prior written consent.

7. ACCEPTABLE USE

You agree not to use the Services for any unlawful purpose or in any way that violates these Terms. This includes, but is not limited to:

  • Engaging in fraudulent or deceptive activities;

  • Violating any laws or regulations;

  • Infringing upon the rights of others, including their privacy or intellectual property rights;

  • Sending spam, unsolicited messages, or any form of harassment.

We reserve the right to monitor your usage of the Services and to terminate or suspend your account if we suspect any breach of this Section.

8. CONFIDENTIALITY & PRIVACY

  1. Confidential Information: You may receive confidential or proprietary information from Voice Panda (“Confidential Information”). You agree to use such information solely for the purpose of using the Services and to protect it from unauthorized disclosure.

  2. Privacy Policy: Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information. By using the Services, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

9. DISCLAIMER OF WARRANTIES

  1. As-Is Basis: The Services are provided on an “as-is” and “as-available” basis. Voice Panda makes no representations or warranties of any kind, express or implied, regarding the Services, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

  2. No Guarantee of Results: While Voice Panda aims to provide high-quality AI-powered features, we do not guarantee the Services will meet your specific requirements, be error-free, or operate without interruption.

10. LIMITATION OF LIABILITY

To the fullest extent permitted by law, in no event shall Voice Panda, its affiliates, officers, employees, or agents be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of or inability to use the Services. This limitation of liability applies whether based on contract, tort, negligence, strict liability, or any other legal theory, even if Voice Panda has been advised of the possibility of such damages.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Voice Panda and its affiliates, officers, employees, and agents from any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to:

  1. Your breach of these Terms;

  2. Your use or misuse of the Services;

  3. Your violation of any applicable laws or regulations.

12. TERMINATION

  1. Termination by Voice Panda: We may terminate or suspend your account and access to the Services at any time, for any reason, and without notice.

  2. Termination by You: You may terminate your account at any time by following the instructions within the platform or contacting us at info@voicepanda.ai.

  3. Effect of Termination: Upon termination, your right to access and use the Services will immediately cease. Any provisions of these Terms that by their nature should survive termination shall remain in effect.

13. GOVERNING LAW & DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State in which Voice Panda is incorporated, without regard to its conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved through good faith negotiations. If negotiations fail, such disputes shall be resolved in the state or federal courts located in that jurisdiction.

14. CHANGES TO THE TERMS

We reserve the right to update, modify, or replace these Terms at any time. If we make material changes, we will notify you by email or by posting a prominent notice within the Services. Your continued use of the Services following the posting of any changes constitutes acceptance of those changes.

16. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other legal notices published by Voice Panda, constitute the entire agreement between you and Voice Panda regarding the Services and supersede all prior or contemporaneous agreements, communications, or understandings, whether written or oral, related to their subject matter.

By creating an account or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
